Terms of Business

1. The Law These terms and conditions and all other expressed terms of the contract shall be governed and constructed in accordance with the laws of England.

2. Definitions Company means Quanta Training Limited. Client means the Company, delegate or person named on the Booking Form for whom the Company has agreed to provide the Training Course in accordance with these conditions.

3. Supply of Training Courses

3.1 The Company shall provide Training Courses generally in accordance with these conditions and/or more specifically as part of the Discount Days Scheme or Passport Scheme in accordance with clauses 6 and 7 respectively.

3.2 The Client shall request a Training Course by completing and signing a Booking Form which must be received at least 10 business days before the commencement of the appropriate Training Course.

3.3 No booking will be deemed accepted by the Company, unless and until confirmed in writing by the Company.

3.4 The Company may at any time without notifying the Client make any changes to the Training Course or postpone, cancel or discontinue the Training Course booked, without liability to the Client. The Client will then be booked on an appropriate alternative Training Course at no extra charge.

3.5 The Company reserves the right to refuse or restrict anyone from attending its Training Courses.

3.6 Discount Days and passports may only be used to attend nominated courses.

3.7 Course outlines are correct at time of going to print.

3.8 On occasions, telephone conversations may be recorded in order to enhance the service we give to you.

4. Copyright

4.1 All rights reserved. No part of the training material may be reproduced, stored in a retrieval system, or transmitted in any form, or by any means, electronic, mechanical, photocopying, or otherwise, without prior permission in writing of the copyright owner.

5. Charges

5.1 Unless any special terms agreed, the Client shall pay the Company's Standard Charges, Discount Days Scheme Charges, Passport Schemes Charges and any additional sums which are agreed between the Company and the Client for provision of the Training Course(s) within 10 days of the date of the Company's invoice or upon receipt of a Booking Form in respect of a late booking but in any event prior to the commencement of the Training Course.

5.2 All prices quoted to the Client exclude VAT and are subject to interest at the rate of 2% over Barclays Bank then current base rate from the due date of payment.

5.3 Once the Company's Standard Charges, Discount Days Scheme Charges, Passport Scheme Charges and any other additional sums which are agreed between the Company and the Client for the provision of the Training Course(s) or other services have been paid, then all of the money paid by the Client is non-refundable unless specific terms are agreed in writing between the Company and the Client. If a Training Course is cancelled by the Client at least 10 business days prior to the commencement of the Training Course, then the money paid, may be carried forward in the form of a credit for use with a future Training Course of the same or lower value.

5.4 Prices are correct at time of going to print but may be subject to change.

5.5 The Company shall be entitled to invoice the Client in respect of the Training Course(s) requested upon receipt of a Booking Form or at other times agreed with the Client.

5.6 If the Client fails to give the Company at least 10 days written notice of his intention to cancel or not attend a Training Course, then the Company shall be entitled to invoice the Client for the full cost of the Training course.

5.7 Free technical support will be offered to the client who attended the Training Course, for a period of 30 days, after completion of the course. The technical support must relate to the course taken and applies to the delegate who attended the course.

6. Liability

6.1 Except in respect of death or personal injury caused by the Company's negligence, or as expressly provided in these Conditions, the Company shall not be liable to the Client by reason of any representation (unless fraudulent), or any implied warranty, condition or other term, or any duty at common law, or under the express terms of the Contract for any loss of profit or any indirect, special or consequential loss, damage, costs, expenses or other claims (whether caused by the negligence of the Company its servants or agents or otherwise) which arise out of or in connection with the provision of the Training Course and the entire liability of the company under or in connection with the Contract shall not exceed the amount of the Company's charges for the provision of the Training Course except as expressly provided in these Conditions.

6.2 The Company shall not be liable to the Client or be deemed in breach of contract by reason of any delay or failure to perform any of the Company's obligations in relation to the Training Course if this was due to any cause beyond the Company's reasonable control.

7. Discount Days Scheme

7.1 The Client shall be entitled to purchase a number of Training Days in blocks of not less than 11 for instruction of its employees servants and/or agents on the Company's Training Courses. The Company may postpone, vary, cancel or discontinue any of its Training Courses at any time without notifying the Client.

7.2 The Client may purchase an unlimited number of Training Days under the Discount Days Scheme, subject to all such Training Days being undertaken within the period of 12 Calendar months from the date of receipt by the Company of the first Booking Form submitted under the Discount Days Scheme.

7.3 Any failure by the Client to utilise all of the Training Days purchased under the Discount Days Scheme within the 12 calendar month period shall result in such Training Days being forfeited by the Client and the Company shall not be liable to compensate or reimburse the Client in respect thereof in any manner whatsoever.

7.4 The Company's charges in respect of the Discount Days Scheme shall be due and payable within 10 days of receipt of the Client's Booking Form but in any event prior to the commencement of a Training Course selected by the Client under the Discount Days Scheme.

7.5 If the Client fails to give the Company at least 10 days written notice of his intention to cancel or not attend a Training Course booked under the Discount Days Scheme then the Company shall be entitled to invoice the Client for the full cost of the Training course and until such time as the Client has settled such invoice then the Client shall be precluded from booking or participating on any further Training Courses under the Discount Days Scheme.

8. Passport Schemes

8.1 The Passport Scheme is non-transferable unless special terms are agreed between the Company and the Client. Therefore only the person named on the Booking Form shall be entitled to participate under the scheme.

8.2 The Gold Passport allows the person named on the Booking Form to attend any of the Company's Training Courses and then re-attend any of the Company's Training Courses as many times as they require, for a period of 12 months from the date of receipt by the Company of a Booking Form completed and signed by the Client.

8.3 The 4, 5, 6 and 7 Passport Schemes specify the number of different courses the person named on the Booking Form may attend. The named person can only attend up to the number of Training Courses specified for the Passport Scheme. The named person may re-attend a Training Course they have already attended under the Passport Scheme as many times as they require, provided the Training Course is exactly the same as when they had originally attended.

8.4 The Passport Scheme shall entitle the person named on the Booking Form to attend each of the Company's Training Courses and to re-attend any of the Company's training courses as many times as they require at such a time as shall be agreed by the Company in writing but in any event only within the 12 calendar month period referred to in Clause 7.2.

8.5 The Company's charges shall be due and payable within 10 days of receipt by the Company of a Booking Form but in any event prior to the commencement of the first Training Course selected under the Passport Scheme.

8.6 If the Client fails to give the Company at least 10 days written notice of his intention to cancel or not attend a Training Course booked under the Passport Scheme then the Company shall be entitled to invoice the Client for the full cost of the Training Course and until such time as the Client has settled such invoice the Client shall be precluded from booking or participating on any further Training Courses.

9. Recommend a Friend Scheme

9.1 We reserve the right to refuse any application from the recommend a friend scheme.

9.2 We will endeavour to provide you with the free gift stated, however in the event of this not being possible for any reason, an alternative of the same value will be supplied.

9.3 You will be entitled to your free gift providing the person/company you recommend has not trained with our company before and that they are from a different company to yourself or they are from your company but are based at a different site to yourself.

10. Termination

10.1 The Client must give at least 10 business days notice prior to commencement of the Training Course, if they wish to cancel and must also do this in writing. In this event the Company shall be entitled to retain a handling charge of 15% of the Company's Standard charges. Failure to give 10 business days notice in writing will result in the Client being liable for 100% of the Company's Standard Charge for that Training Course, unless otherwise agreed between the Company and the Client.

10.2 The Company may at any time terminate the Contract by giving written notice to the Client, if the Client commits any breach of the Terms and Conditions stated.
